Not-for-profit and charity advice can concern structure, governance, registration, fundraising and operational obligations. Being not-for-profit and being a registered charity are different descriptions. The organisation’s purposes and activities help identify the relevant framework.

An incorporated association, company and trust can have different governance arrangements. Charity registration does not settle every tax or fundraising question. Ask how the proposed structure supports the organisation’s activities and which regulators or professional advisers need to be involved.
Organise the following material you already lawfully hold. This is a preparation list, not a complete evidentiary requirement. Ask the verified adviser what they need and how to send it securely.
Keep originals and dates intact. Use a short initial enquiry for a conflict and suitability check before sending sensitive documents.
Identify the organisation’s legal structure, governing documents, registrations and the decision being considered. Ask whether advice is for the entity or an individual office-holder. A first review should distinguish governance, tax, fundraising, employment and regulatory questions and identify which are in scope.
Operating without a profit-distribution purpose does not establish every registration or concession. The words charity, association and not-for-profit can describe different aspects that need checking against the organisation’s actual records.
Which legal structure and regulatory obligations fit our actual activities?
Ask the adviser to explain the assumptions behind the answer, any missing information and what would change the proposed next step. You can request an initial assessment without assuming that full representation is included.
A sample may identify questions, but it may not suit your structure, activities or obligations. Ask the lawyer to explain the choices and implementation steps. Compare advice on governance with simply formatting a document.

Define the work before comparing the fee
Identify the business entity, the commercial objective and the stage of the transaction or disagreement. An owner’s personal position, a company’s interests and another participant’s interests may require separate advice.
Mention connected issues when you enquire. One engagement may not cover every part of your situation.
